1. INTRODUCTION AND ACCEPTANCE
1.1 The Network
Welcome to Kemet ("The Network," "Kemet," "we," "us," or "our"). Kemet is a decentralized communication utility and social media protocol built upon the principles of cryptographic sovereignty, immutable identity, and non-custodial data ownership. Unlike legacy platforms that function as publishers or curators of user content, Kemet functions as a neutral infrastructure provider for encrypted and public information exchange.
1.2 Agreement to Terms
These Terms of Service ("Terms," "Agreement," or "ToS") constitute a legally binding contract between you ("User," "Node Operator," or "you") and Kemet Protocol Governance ("Kemet"). By accessing, downloading, installing, or using The Network, including any associated software, applications, websites, or services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.
1.3 The Manifesto and Legal Hierarchy
Upon initial account creation, you were presented with the Kemet Manifesto, which articulates our philosophical commitment to privacy, sovereignty, and user autonomy. The Manifesto is a statement of principles and intent. These Terms of Service constitute the legally binding agreement governing your use of The Network. In the event of any conflict between the Manifesto and these Terms, these Terms shall prevail to the extent necessary to resolve the conflict, provided that we shall endeavor to interpret both documents harmoniously to preserve the spirit of cryptographic sovereignty.
1.4 Changes to Terms
We may modify these Terms at any time. Changes will be effective immediately upon posting to The Network or our legal documentation repository. Your continued use of The Network following any modification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must cease using The Network and delete your Node. Material changes will be announced via system notifications where technically feasible, though we do not guarantee delivery or reading of such notifications.
1.5 Electronic Communications
By using The Network, you consent to receive electronic communications from us, including notices, agreements, disclosures, and other communications. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
2. DEFINITIONS AND INTERPRETATION
2.1 Key Definitions
For purposes of these Terms, the following terms shall have the meanings set forth below:
"Blockchain" means the immutable, hash-chained audit trail used for administrative logging and transparency purposes.
"Community Covenant" means the document designated KEM-LEG-003, setting forth content policies and behavioral standards for The Network.
"Content" means any information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials transmitted, posted, or otherwise made available through The Network.
"Cryptographic Identity" means the mathematical keypair generated by your device that serves as your unique identifier on The Network, consisting of a public key and a private key.
"Device Fingerprint" means a hashed, salted representation of your device characteristics used for abuse prevention and security purposes.
"Direct Message" or "DM" means end-to-end encrypted communications between two or more Nodes using the Kemet Secure Messaging Protocol (KSMP).
"E2EE" means end-to-end encryption, where content is encrypted on the sender's device and can only be decrypted by the intended recipient's device.
"Hash" means a cryptographic one-way function that converts data into a fixed-size string of characters that cannot be reversed to reveal the original data.
"IP Hash" means a salted, hashed representation of your Internet Protocol address, rotated periodically for privacy protection.
"KSMP" means the Kemet Secure Messaging Protocol, our proprietary implementation of extended triple Diffie-Hellman (X3DH) handshake combined with the Double Ratchet algorithm for forward secrecy and post-compromise security.
"Node" means your account and cryptographic identity on The Network, identified by your public key and associated metadata.
"Node ID" means the unique identifier derived from your Cryptographic Identity.
"One-Time PreKey" or "OTPK" means ephemeral X25519 keys used for forward secrecy during session initialization.
"Post" means Content published to The Network with visibility set to "public" or shared within Groups.
"Public Feed" means the algorithmically and chronologically ordered display of public Posts available to Nodes on The Network.
"Ratchet" means the cryptographic mechanism that derives new Message Keys for each message, providing forward secrecy.
"Salt" means random data added to input before hashing to prevent rainbow table attacks and ensure uniqueness.
"SecureStore" means the platform-specific secure storage mechanism (iOS Keychain, Android Keystore, or equivalent) used to protect your private keys.
"Visibility Restriction" means the enforcement mechanism whereby a Node with a low Trust Score may continue to use The Network, but their Public Content will not propagate to global feeds or search indices.
"Signed PreKey" or "SPK" means a medium-term X25519 key signed by your Identity Key, rotated periodically.
"Trust Score" means the algorithmic reputation metric assigned to each Node based on behavioral signals, graph analysis, and network participation.
"Vault Key" means the master cryptographic key from which your Identity Key and other key material is derived, represented as a 12-word recovery phrase.
"X3DH" means the Extended Triple Diffie-Hellman key agreement protocol used for asynchronous messaging.
2.2 Interpretation
Unless the context requires otherwise: (a) "including" means "including without limitation"; (b) "or" is not exclusive; (c) references to "writing" include electronic writing; (d) section headings are for convenience only and do not affect interpretation; (e) references to statutes or regulations include amendments and successor provisions.
3. ELIGIBILITY AND ACCOUNT CREATION
3.1 Age Requirements
You must be at least thirteen (13) years of age to use The Network. By creating a Node, accessing The Network, or using any Services, you represent and warrant that you are at least thirteen (13) years old. If you are under thirteen (13) years of age, you are prohibited from using The Network.
We do not knowingly collect personal information from children under thirteen (13). If we become aware that a child under thirteen has created a Node, we will terminate that Node and delete associated data in accordance with our data retention policies. Because we do not collect identifying information such as email addresses or phone numbers, we rely on user self-certification of age.
3.2 Legal Capacity
By using The Network, you represent and warrant that: (a) you have the legal capacity to enter into a binding contract; (b) you are not barred from using The Network under any applicable law; (c) you have not been previously terminated from The Network for violation of these Terms or the Community Covenant; and (d) your use of The Network will comply with all applicable laws and regulations.
3.3 Node Creation and Cryptographic Identity
To create a Node, you must download the Kemet application and initiate the account creation process. Upon initiation, your device will generate a Cryptographic Identity consisting of:
(a) A Vault Key, derived from cryptographically secure random number generation and presented as a 12-word recovery phrase; (b) An Identity Key (Ed25519) derived from the Vault Key; (c) A Signed PreKey (X25519) signed by the Identity Key; (d) A batch of One-Time PreKeys (X25519) for forward secrecy.
3.4 Key Security and Recovery
You are solely responsible for securing your Vault Key and recovery phrase. We cannot recover your Vault Key, reset your password, or restore access to your Node if you lose your recovery phrase. This is not a limitation of our willingness to help but a mathematical impossibility inherent to our architecture.
During Node creation, you will be required to write down your 12-word recovery phrase and verify randomly selected words from that phrase. This verification process confirms you have physically recorded the phrase. You must store this phrase securely, preferably offline, in multiple physical locations. Treat your recovery phrase as you would treat cash, jewelry, or other valuables.
3.5 Device Binding
Your Node is bound to your device through SecureStore integration. If you lose your device and have not recorded your recovery phrase, your Node and all associated data are permanently irretrievable. We cannot decrypt your data, reset your keys, or transfer your identity to a new device without the recovery phrase.
If you have your recovery phrase, you may restore your Node on a new device. The restoration process will generate new device-specific keys (Signed PreKey and One-Time PreKeys) while preserving your core Identity Key and Vault Key. This process may trigger security warnings for your contacts, as the key rotation is visible on The Network for transparency.
3.6 Anonymous by Design
We do not require, collect, or store your real name, email address, phone number, or government-issued identification to create or operate a Node. Your default identifier is an automatically generated pseudonym (e.g., "Node_XXXXXX"). You may optionally customize your display name, username, profile information, and date of birth. Any optional information you provide is stored in accordance with our Privacy Policy.
You understand that any optional information you provide, including date of birth, is self-reported and unverified. We do not use this information for age verification, targeting, or any purpose other than display to other users according to your privacy settings.
3.7 Single Node Per Device Limitations
To prevent abuse and maintain network integrity, each physical device may create a limited number of Nodes over its lifetime. This limitation is enforced through Device Fingerprinting and hardware attestation. Attempting to circumvent this limitation through device emulation, rooting, jailbreaking, or other technical means constitutes a violation of these Terms and may result in immediate termination of all associated Nodes.
4. THE KEMET SERVICES
4.1 Description of Services
Kemet provides a decentralized social media and communication platform consisting of:
(a) Public Posting: The ability to publish Content with "public" visibility, making it accessible to all Nodes on The Network; (b) Direct Messaging: End-to-end encrypted private messaging between Nodes using KSMP; (c) Group Participation: The ability to join and participate in topic-based Groups and communities; (d) Social Graphing: Encrypted management of connections, follows, and relationships; (e) Discovery: Algorithmic and chronological content discovery through the Public Feed and search functionality; (f) Premium Features: Enhanced capabilities available through Kemet, Kemet+, and Kemet++ subscription tiers. (f) KSLP (Kemet Secure Link Protocol) and KMSP (Kemet Media Safety Protocol): Automated safety systems that analyze external links and public media content to prevent abuse, malware, and illegal content distribution. These systems operate on public content only and cannot access encrypted private communications.
4.2 Public vs. Private Content
You acknowledge and understand the critical distinction between Public Content and Private Content on The Network:
(a) Public Content: When you create a Post with visibility set to "public," the content is stored in our databases in unencrypted form (though transmitted securely). Public Content is indexed for search, scored for algorithmic distribution, and accessible to any Node on The Network. Public Content may also be shared externally if you enable the "allow_external_share" setting. You should have no expectation of privacy for Public Content.
(b) Private Content: Direct Messages and encrypted Group communications use KSMP with end-to-end encryption. The content is encrypted on your device before transmission and can only be decrypted by the intended recipient's device. We cannot read, access, or decrypt Private Content. We do not possess the keys, and our architecture makes it mathematically impossible for us to access this content, even if compelled by legal process.
4.3 Service Availability and Modifications
We reserve the right to modify, suspend, or discontinue any aspect of The Network at any time, with or without notice. We do not guarantee uninterrupted access to The Network. Service may be interrupted for maintenance, security updates, or factors beyond our control.
We may update the application software from time to time. You agree to accept these updates, which may be delivered automatically or require manual installation. Use of outdated software versions may result in incompatibility, security vulnerabilities, or termination of access.
4.4 No Guarantee of Delivery
While we strive for reliable message delivery, we do not guarantee that messages, Posts, or other Content will be delivered, delivered promptly, or delivered without corruption. Factors including network conditions, device status, and cryptographic key availability affect delivery. Messages in "Request" status (from unknown senders) may expire if not accepted within a reasonable time.
4.5 Regional Availability
The Network is intended for global availability. However, we do not represent that The Network is appropriate or available for use in any particular jurisdiction. You access The Network at your own initiative and are responsible for compliance with local laws. If you access The Network from a jurisdiction where its use is prohibited, you do so at your own risk.
5. CRYPTOGRAPHIC ARCHITECTURE AND SECURITY
5.1 Zero-Knowledge Architecture
Kemet is designed as a zero-knowledge platform with respect to Private Content. We cannot: (a) Read your Direct Messages or encrypted Group communications; (b) Access your Vault Key or private key material; (c) Decrypt any content protected by KSMP; (d) Recover your account if you lose your recovery phrase; (e) Reset your cryptographic identity or transfer it between devices without the recovery phrase.
This is not merely a policy choice but a technical constraint of our architecture. We have engineered The Network such that we do not possess the capability to access encrypted content, even under legal compulsion.
5.2 Public Content Visibility
With respect to Public Content, we operate as a traditional platform. Public Posts are stored in our databases, indexed for search, and may be moderated according to the Community Covenant. We can and will remove Public Content that violates our policies or applicable law. We can and will terminate Nodes that violate these Terms or the Community Covenant.
5.3 Key Management and Rotation
Your device manages all cryptographic keys locally. Keys are generated using cryptographically secure random number generators and stored in platform-specific secure storage (SecureStore). Private keys never leave your device except when encrypted for backup purposes (if you choose to enable encrypted backup).
Keys rotate automatically according to the Double Ratchet protocol, providing forward secrecy (past messages remain secure even if current keys are compromised) and post-compromise security (future messages heal if current keys are compromised).
5.4 Security Limitations
While we employ state-of-the-art cryptography, no system is entirely secure. You acknowledge that: (a) Your device security is your responsibility; if your device is compromised, your keys may be extracted; (b) We cannot protect against screenshots, forwarding, or other recipient-side compromises of Private Content; (c) Metadata (who communicates with whom, when, and how often) is protected but not perfectly obscured; (d) Sophisticated traffic analysis may reveal patterns of communication despite encryption.
5.5 Abuse Prevention Signals
To protect The Network from spam, abuse, and automated attacks, we collect certain security signals:
(a) IP Hashes: Salted, hashed representations of your IP address, rotated every 3-7 days; (b) Device Fingerprints: Hashed representations of device characteristics for abuse tracking; (c) Behavioral Entropy: Pattern analysis to detect automated or scripted behavior; (d) Rate Limiting Data: Timestamps and request volumes to prevent spam.
These signals are used solely for network protection, abuse prevention, and rate limiting. They are not used for advertising, profiling, or any commercial purpose. They are retained for a maximum of 3-7 days before rotation or deletion.
6. CONTENT, LICENSES, AND INTELLECTUAL PROPERTY
6.1 Your Content
You retain all ownership rights to Content you submit, post, or display on The Network. We do not claim ownership of your Content. However, to operate The Network, we require certain licenses from you, as described below.
6.2 License to Kemet
By submitting, posting, or displaying Public Content on The Network, you grant Kemet a limited, non-exclusive, royalty-free, worldwide license to:
(a) Host, store, and display your Public Content on The Network; (b) Distribute your Public Content to other Nodes who request it; (c) Include your Public Content in search results and algorithmic feeds; (d) Create derivative works solely for the purpose of operating The Network (such as creating thumbnails, generating search vectors, or formatting for different devices); (e) Use your Public Content for internal research, machine learning, and artificial intelligence training to improve The Network's services, algorithms, and abuse detection systems.
This license is limited to purposes reasonably necessary to operate, promote, and improve The Network. It does not grant us the right to sell your Content to third parties, use it for advertising outside The Network, or create commercial products from your Content without your consent.
6.3 License Termination
The license granted in Section 6.2 terminates with respect to specific Content when you delete that Content or your account. However: (a) Content shared with other users (via reposts, quotes, or external sharing) may remain visible even after your deletion; (b) We may retain copies in backup systems for a reasonable period (not exceeding 7 days); (c) Content may remain in our immutable audit logs (Blockchain) in hashed or summarized form for transparency and security purposes; (d) We may retain Content if required by law or to protect our legal rights.
6.4 Private Content License
With respect to Private Content (Direct Messages and encrypted Group communications), you grant us no license beyond the technical necessity to transmit the encrypted data from sender to recipient. We cannot and do not access the content of these communications.
6.5 Representations and Warranties
You represent and warrant that: (a) You own or have the necessary rights to post your Content; (b) Your Content does not violate the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party; (c) Your Content complies with these Terms and the Community Covenant.
6.6 Kemet Intellectual Property
The Kemet name, logo, KSMP protocol, and all related trademarks, service marks, graphics, and logos are our intellectual property. You may not use our trademarks without our prior written consent, except as necessary to describe your use of The Network.
The underlying software, protocols, and cryptographic implementations are protected by copyright, trade secret, and other intellectual property laws. You may not reverse engineer, decompile, or disassemble our software except as expressly permitted by applicable law.
7. ACCEPTABLE USE AND PROHIBITED CONDUCT
7.1 Community Covenant
Your use of The Network is subject to the Community Covenant (KEM-LEG-003), which sets forth detailed standards for content and behavior. The Community Covenant addresses:
(a) Violence and Criminal Behavior (terrorism, organized hate, illegal commerce); (b) Safety and Human Dignity (CSAM, self-harm, harassment); (c) Objectionable Content (graphic violence, hate speech); (d) Network Integrity (spam, impersonation, manipulation); (e) Intellectual Property (copyright, DMCA procedures).
By using The Network, you agree to comply with the Community Covenant. The Community Covenant is incorporated by reference into these Terms. Violations of the Community Covenant constitute violations of these Terms and may result in enforcement actions including Visibility Restriction, Suspension, or Termination.
7.2 Prohibited Technical Activities
In addition to the behavioral prohibitions in the Community Covenant, you agree not to:
(a) Access or attempt to access The Network by any means other than our provided interfaces; (b) Circumvent or attempt to circumvent any security measures, rate limits, or access controls; (c) Use automated scripts, bots, or scrapers to access The Network without authorization; (d) Interfere with or disrupt the integrity or performance of The Network; (e) Attempt to decompile, reverse engineer, or discover the source code of our software; (f) Create multiple Nodes to circumvent restrictions, bans, or rate limits ("Sybil attacks"); (g) Manipulate Trust Scores, algorithmic distribution, or engagement metrics through artificial means; (h) Upload or transmit viruses, malware, or other malicious code.
7.3 Device and Account Security
You are responsible for maintaining the security of your device and your cryptographic keys. You agree to: (a) Keep your recovery phrase secure and offline; (b) Not share your private keys or recovery phrase with any third party; (c) Notify us immediately if you suspect unauthorized use of your Node; (d) Use appropriate security measures (device passcodes, biometric authentication) to protect your device.
7.4 Cooperation with Enforcement
You agree to cooperate with our reasonable requests for information or assistance in investigating violations of these Terms or the Community Covenant. This may include providing information about reported content or suspicious activity within your network view.
8. PRIVACY AND DATA PRACTICES
8.1 Privacy Policy
Your privacy is governed by our Privacy Policy (KEM-LEG-002), which is incorporated by reference into these Terms. The Privacy Policy explains:
(a) What information we collect and do not collect; (b) How we use and protect information; (c) Your rights regarding your data; (d) Our data retention and deletion practices.
8.2 Data We Cannot Access
Consistent with our zero-knowledge architecture, we cannot access: (a) The content of your Direct Messages or encrypted Group communications; (b) Your Vault Key or private cryptographic material; (c) Your social graph or connection preferences (stored encrypted); (d) Your private account settings or encrypted profile information.
8.3 Data We Process
We do process certain data necessary to operate The Network, including: (a) Public Content (as described in Section 4.2); (b) IP Hashes and security signals (as described in Section 5.5); (c) Account metadata (creation date, Trust Score, status); (d) Encrypted social graph data (we store it but cannot read it); (e) Payment confirmation data (subscription status only).
8.4 Law Enforcement and Legal Process
We comply with applicable laws and legal process. However, our technical architecture limits our ability to respond to many requests:
(a) For Private Content: We cannot provide content we cannot access. We do not possess decryption keys for Direct Messages or encrypted Group communications. Requests for such content will be met with a technical explanation of our incapability.
(b) For Public Content: We can and will remove Public Content that violates law or our policies. We can provide access to Public Content in response to valid legal process.
(c) For Metadata: We can provide IP Hashes (which are rotated and of limited utility), timestamps, and account status information in response to valid legal process.
(d) Emergency Disclosures: We may disclose information without legal process if we have a good faith belief that such disclosure is necessary to prevent imminent death or serious physical injury.
We will attempt to notify users of legal requests regarding their data unless prohibited by law or in cases of emergency.
8.5 International Data Transfers
The Network operates globally. By using The Network, you consent to the transfer, storage, and processing of your information in jurisdictions around the world, including jurisdictions that may have different data protection laws than your country of residence.
9. THIRD-PARTY SERVICES AND INTEGRATIONS
9.1 Firebase Cloud Messaging
Push notifications are delivered using Firebase Cloud Messaging (FCM), a service provided by Google. If you enable push notifications:
(a) Your device will establish a connection with Google's FCM servers; (b) Google may collect device identifiers and IP addresses; (c) Notification payloads are encrypted end-to-end between devices; (d) We do not control Google's data practices.
Push notifications are optional. You may disable them in your device settings, though this may affect message delivery reliability.
9.2 Payment Processors
Premium subscriptions are processed through: (a) Stripe (for web payments); (b) Apple App Store (for iOS in-app purchases); (c) Google Play Store (for Android in-app purchases).
We do not collect or store your payment method details (credit card numbers, billing addresses). We receive only confirmation of payment status ("paid" or "not paid") and subscription tier information. Payment processing is subject to the terms and privacy policies of the respective processors.
9.3 No Other Third-Party Sharing
Except as described in this Section 9, we do not sell, rent, or share your data with third parties. We do not use third-party analytics, advertising networks, or data brokers. We do not integrate with social media platforms or other external services that would expose your data.
9.4 Third-Party Content
The Network may contain links to third-party websites or resources. We do not control and are not responsible for third-party content or practices. Your interactions with third parties are solely between you and the third party.
10. PREMIUM SERVICES AND PAYMENTS
10.1 Subscription Tiers
We offer three subscription tiers:
(a) Kemet (Free): Basic access with limited advertising; (b) Kemet+: Enhanced features with 50% advertising reduction; (c) Kemet++: Premium features with no advertising.
Specific features and pricing for each tier are described in the application and may be updated from time to time.
10.2 Advertising Model
Advertising on The Network, when implemented, will be: (a) Region-based, not user-targeted; (b) Not based on personal data, browsing history, or social graph; (c) Served through Kemet's own infrastructure, not third-party ad networks; (d) Reduced or eliminated according to subscription tier.
We do not sell user data to advertisers or use personal information for ad targeting.
10.3 Billing and Renewal
Subscriptions automatically renew for the same term unless cancelled. You authorize us (or our payment processors) to charge your payment method for all fees incurred. If payment fails, we may suspend your premium features until payment is received.
10.4 Refunds
All payments are final. We do not provide refunds for partial months or unused subscription periods. If you delete your account, you forfeit any remaining subscription time without refund.
10.5 Price Changes
We may change subscription prices upon notice. Price changes take effect at the next renewal period. If you do not agree to a price change, you may cancel your subscription before the renewal date.
11. DISCLAIMERS AND WARRANTIES
11.1 As-Is Service
THE NETWORK IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
11.2 No Guarantee of Security
While we employ strong cryptography and security practices, we do not guarantee that The Network is secure, error-free, or free from vulnerabilities. Cryptographic systems may be broken, software may contain bugs, and security measures may fail. You use The Network at your own risk.
11.3 No Guarantee of Privacy
We design for privacy, but we cannot guarantee absolute privacy. Factors beyond our control, including but not limited to device compromise, recipient misconduct, traffic analysis, and legal compulsion, may result in disclosure of your information.
11.4 No Guarantee of Availability
We do not guarantee uninterrupted, timely, secure, or error-free service. The Network may be unavailable due to maintenance, technical failures, network issues, or force majeure events.
11.5 No Guarantee of Content
We do not endorse, verify, or guarantee the accuracy, quality, or safety of any Content on The Network. You are solely responsible for your interactions with other users and your reliance on Content.
11.6 No Fiduciary Duty
Nothing in these Terms creates a fiduciary relationship, partnership, joint venture, employment, or agency relationship between you and Kemet.
12. LIMITATION OF LIABILITY
12.1 Cap on Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KEMET, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE NETWORK, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
(a) LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; (b) LOSS OF CRYPTOCURRENCY, DIGITAL ASSETS, OR VALUE; (c) DEVICE FAILURE OR DATA CORRUPTION; (d) PERSONAL INJURY OR PROPERTY DAMAGE; (e) UNAUTHORIZED ACCESS TO YOUR DATA OR ACCOUNT; (f) LOSS OF ACCESS TO YOUR NODE OR RECOVERY PHRASE; (g) RELIANCE ON CONTENT OR ADVICE OBTAINED THROUGH THE NETWORK; (h) INTERRUPTION OR CESSATION OF SERVICE.
12.2 Liability Cap
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE NETWORK SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100).
12.3 Specific Exclusions
WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR:
(a) LOST KEYS OR RECOVERY PHRASES: We cannot and will not be liable for loss of access to your Node resulting from lost, stolen, or forgotten recovery phrases. This is a fundamental aspect of our non-custodial architecture.
(b) USER CONTENT: We are not liable for any Content posted by users, including defamatory, offensive, or illegal Content. Our role is that of a platform, not a publisher.
(c) USER CONDUCT: We are not liable for the conduct of other users, including harassment, fraud, scams, or illegal activities. Users are solely responsible for their own actions.
(d) THIRD-PARTY SERVICES: We are not liable for the acts or omissions of third-party service providers, including payment processors, cloud infrastructure providers, or push notification services.
(e) SECURITY BREACHES: We are not liable for unauthorized access to your data resulting from your failure to maintain device security, social engineering attacks, or vulnerabilities in your own systems.
(f) NETWORK ISSUES: We are not liable for delays, failures, or errors caused by network congestion, internet service provider issues, or distributed denial of service attacks.
(g) FORCE MAJEURE: We are not liable for failures caused by events beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
(h) REGULATORY ACTIONS: We are not liable for service interruptions or data loss resulting from government actions, court orders, or regulatory requirements.
12.4 Essential Purpose
THE LIMITATIONS OF LIABILITY IN THIS SECTION 12 APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
12.5 Jurisdictional Variations
Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.
13. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Kemet, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
(a) Your violation of these Terms or the Community Covenant; (b) Your use of The Network, including but not limited to your Content, your conduct, and your interactions with other users; (c) Your violation of any rights of another, including intellectual property rights or privacy rights; (d) Your violation of any applicable law or regulation; (e) Any dispute between you and another user.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
14. DISPUTE RESOLUTION AND GOVERNING LAW
14.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.
14.2 Agreement to Arbitrate
YOU AND KEMET AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR IN RELATING TO THESE TERMS OR THE NETWORK, INCLUDING THE FORMATION, BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, SHALL BE DETERMINED BY BINDING ARBITRATION IN WILMINGTON, DELAWARE, BEFORE A SINGLE ARBITRATOR.
14.3 Arbitration Rules
The arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Mediation Procedures. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this agreement is void or voidable.
14.4 Arbitration Process
The arbitration shall be conducted on a confidential basis. The arbitrator shall issue a written decision stating the essential findings and conclusions on which the award is based. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.
14.5 Costs of Arbitration
Each party shall bear its own costs and attorneys' fees in connection with the arbitration. The arbitrator may award costs and fees to the prevailing party where permitted by law.
14.6 Class Action Waiver
YOU AND KEMET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND KEMET ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
14.7 Exceptions to Arbitration
Notwithstanding the foregoing, either party may bring an individual action in small claims court or seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
14.8 Opt-Out
You may opt out of this arbitration agreement by sending written notice of your decision to opt out to legal@kemet.network within thirty (30) days of first accepting these Terms. Your notice must include your name, Node ID, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes shall be resolved in the state or federal courts located in Wilmington, Delaware.
15. TERMINATION
15.1 Termination by User
You may terminate your account at any time by deleting the Kemet application or using the account deletion function within the application. Upon termination:
(a) Your right to use The Network immediately ceases; (b) Your Public Content will be removed from active display within 3-7 days; (c) Your encrypted Private Content will become inaccessible (as you will no longer possess the keys); (d) Your Cryptographic Identity will be blacklisted to prevent re-creation with the same keys; (e) Certain data may be retained in backup systems or audit logs as described in Section 6.3.
15.2 Termination by Kemet
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:
(a) Breach of these Terms or the Community Covenant; (b) Violation of applicable law; (c) Fraudulent or illegal activity; (d) Creation of multiple Nodes to circumvent restrictions; (e) At our sole discretion, if we determine your use poses a risk to The Network or other users.
15.3 Effects of Termination
Upon termination by Kemet:
(a) Your Node will be immediately suspended or terminated; (b) Your Public Content will be removed; (c) Your device fingerprint may be blacklisted; (d) Your IP Hash may be flagged; (e) You may be prohibited from creating new accounts.
15.4 Survival
Sections that by their nature should survive termination shall survive termination, including but not limited to: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Dispute Resolution.
16. MODIFICATIONS TO TERMS
16.1 Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, where technically feasible. What constitutes a material change will be determined at our sole discretion.
16.2 Continued Use
By continuing to access or use The Network after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use The Network and must delete your account.
16.3 Material Changes
Material changes to these Terms will be announced via system notifications or in-application notices where possible. However, we do not guarantee delivery or reading of such notifications. It is your responsibility to review these Terms periodically.
17. GENERAL PROVISIONS
17.1 Entire Agreement
These Terms, together with the Community Covenant, Privacy Policy, and any other policies referenced herein, constitute the entire agreement between you and Kemet regarding The Network and supersede all prior agreements, understandings, and communications, whether written or oral.
17.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. A waiver is only effective if it is in writing and signed by an authorized representative of Kemet. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
17.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign without consent is void. We may assign these Terms freely without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
17.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications infrastructure, hacking, viruses, or denial of service attacks.
In the event of a prolonged force majeure event (exceeding thirty days), we may terminate these Terms and cease operation of The Network without liability. Users are advised to maintain independent backups of critical data and not to rely on The Network for essential communications or irreplaceable data storage.
17.6 Notices
All notices and other communications under these Terms shall be in writing and delivered: (a) via in-application notification; (b) by posting to our legal documentation repository; or (c) by email to the address you provide (if any). Notices are deemed received upon posting or sending.
17.7 Headings
The headings in these Terms are for convenience only and do not affect their interpretation.

BY CREATING A NODE, ACCESSING THE NETWORK, OR USING ANY SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS CONSTITUTE A BINDING AND ENFORCEABLE CONTRACT BETWEEN YOU AND KEMET.
YOU SPECIFICALLY ACKNOWLEDGE THAT:
1. YOU ARE AT LEAST 13 YEARS OF AGE;
2. YOU UNDERSTAND THAT YOUR CRYPTOGRAPHIC IDENTITY IS DEVICE-BOUND AND THAT LOSS OF YOUR RECOVERY PHRASE RESULTS IN PERMANENT LOSS OF ACCESS;
3. YOU UNDERSTAND THAT WE CANNOT DECRYPT YOUR PRIVATE COMMUNICATIONS OR RECOVER YOUR KEYS;
4. YOU UNDERSTAND THAT PUBLIC CONTENT IS VISIBLE TO ALL AND MAY BE MODERATED;
5. YOU AGREE TO THE ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 14;
6. YOU ACCEPT THE RISKS INHERENT IN DECENTRALIZED, ENCRYPTED COMMUNICATIONS.

APPENDIX A: INTERNATIONAL COMPLIANCE PROVISIONS
A.1 European Union Users
If you are located in the European Union, the following provisions apply to you in addition to the foregoing Terms:
(a) Legal Basis for Processing: Our processing of your personal data is based on the following legal grounds under the General Data Protection Regulation (GDPR): - Contractual necessity (Article 6(1)(b)): Processing necessary to provide The Network under these Terms; - Legal obligation (Article 6(1)(c)): Compliance with laws regarding illegal content and security; - Legitimate interests (Article 6(1)(f)): Network security, fraud prevention, and service improvement.
(b) Data Subject Rights: You have the right to: - Access your personal data; - Rectify inaccurate data; - Erase your data ("right to be forgotten"); - Restrict processing; - Data portability; - Object to processing based on legitimate interests.
To exercise these rights, contact legal@kemet.network. We will respond within 30 days. Note that our technical architecture may limit our ability to identify or process data related to your specific Node due to our encryption and anonymization practices.
(c) Data Protection Officer: We have appointed a Data Protection Officer who can be contacted at dpo@kemet.network for matters related to data protection in the EU.
(d) Supervisory Authority: You have the right to lodge a complaint with a supervisory authority in your EU member state.
A.2 United Kingdom Users
Following Brexit, UK users are subject to the UK GDPR and Data Protection Act 2018. The provisions in Section A.1 apply mutatis mutandis to UK users, with references to the GDPR construed as references to the UK GDPR.
A.3 California Residents (CCPA/CPRA)
If you are a California resident, the following provisions apply:
(a) Categories of Personal Information Collected: We collect the following categories of personal information as defined in the California Consumer Privacy Act (CCPA): - Identifiers (IP hashes, device fingerprints); - Internet or other electronic network activity information; - Geolocation data (region-level only); - Inferences drawn to create a profile (Trust Score).
(b) Rights Under CCPA: You have the right to: - Know what personal information is collected about you; - Know whether your personal information is sold or shared (it is not); - Access your personal information; - Request deletion of your personal information; - Correct inaccurate personal information; - Opt-out of sale or sharing (not applicable as we do not sell data); - Limit use of sensitive personal information (not applicable as we do not process sensitive personal information as defined by CCPA); - Non-discrimination for exercising your rights.
(c) Verification: To process your request, we must verify your identity. Because of our encryption architecture, we may not be able to verify your identity through traditional means. We will work with you to establish verification through cryptographic proof of Node ownership.
(d) Shine the Light Law: California Civil Code Section 1798.83 permits California residents to request information regarding our disclosure of personal information to third parties for their direct marketing purposes. We do not disclose personal information to third parties for direct marketing purposes.
A.4 Brazilian Users (LGPD)
If you are located in Brazil, the Lei Geral de Proteção de Dados (LGPD) applies. You have rights similar to GDPR, including confirmation of processing, access, correction, anonymization, portability, deletion, and information about sharing. Contact legal@kemet.network to exercise these rights.
A.5 Other Jurisdictions
Users in other jurisdictions may have additional rights under local data protection laws. We commit to complying with applicable data protection laws to the extent required, subject to our technical architecture limitations.
APPENDIX B: ENFORCEMENT PROCEDURES AND THE SHADOW PROTOCOL
B.1 Overview of Enforcement
Kemet employs a multi-tiered enforcement system based on the open-source Trust Score algorithm and the Visibility Restriction Protocol. This system is designed to maintain network integrity while preserving user anonymity and due process to the extent technically feasible.
B.2 The Trust Score Algorithm
Every Node is assigned a dynamic Trust Score calculated based on the following factors:
(a) Account Age: Older Nodes receive higher baseline trust; (b) Graph Density: Connections to high-trust Nodes increase trust; (c) Behavioral Entropy: Natural human behavior patterns increase trust; robotic patterns decrease trust; (d) Report Volume: Reports from other users decrease trust; (e) Content Quality: Engagement with high-quality content increases trust; (f) Device Fingerprint Consistency: Changes in device characteristics may temporarily decrease trust; (g) Rate Limit Compliance: Staying within rate limits maintains trust; (h) Verification Status: Verified Nodes (Kemet+/Kemet++) receive trust bonuses.
Trust Scores are calculated server-side using encrypted metadata. We do not decrypt or access the content of your communications to calculate Trust Score.
B.3 Enforcement Tiers
Based on Trust Score and reported violations, enforcement actions escalate as follows:
Tier 1 - Probation: New Nodes enter a probationary period where certain actions are rate-limited. This is automatic and not punitive.
Tier 2 - Rate Limiting: Nodes exhibiting suspicious behavior may face reduced rate limits for posting, messaging, or following.
Tier 3 - Visibility Restriction: Nodes with critically low Trust Scores face visibility limits. In this state: - The Node remains fully functional for private messaging; - Public Posts are de-indexed from global search and hashtags; - Content does not appear in the algorithmic Public Feed; - The Node receives a system notification explaining the restriction, allowing human users the opportunity to remediate their score or file an appeal. (Confirmed botnets may be restricted without notification).
Shadow Containment is silent to prevent bad actors from adapting their behavior. We do not notify users when they are Shadowed to maintain the effectiveness of the system.
Tier 4 - Suspension: Temporary suspension (12 hours, 24 hours, 7 days, or 30 days) during which the Node cannot post, message, or interact. Suspension is used for Community Covenant violations.
Tier 5 - Termination: Permanent cryptographic death of the Node. The Public Key is blacklisted, the Device Fingerprint is banned, and the IP Hash is flagged. The user cannot create a new Node on the banned device.
B.4 Appeal Process
Users may appeal Suspension or Termination decisions:
(a) Submission: Appeals must be submitted via the application or to appeals@kemet.network within 30 days of enforcement action; (b) Content: The appeal must include the Node ID and a written statement addressing the violation; (c) Review: Appeals are reviewed by the Oversight Team, consisting of human administrators; (d) Standard: Decisions are based on intent and impact, not technicalities. Context matters; (e) Outcome: The Oversight Team may uphold, modify, or reverse the enforcement action; (f) Finality: Decisions regarding CSAM, terrorism, or severe harassment are final and not subject to further appeal.
B.5 Transparency and Audit
All administrative actions are logged in an immutable, hash-chained audit trail (Blockchain). This log includes: - Timestamp of action; - Type of action (Shadow, Suspension, Termination); - Reason code (without revealing specific content); - Administering party identifier.
This audit trail ensures accountability while preserving operational security. We may publish aggregate statistics about enforcement actions in transparency reports.
APPENDIX C: TECHNICAL SPECIFICATIONS AND LIMITATIONS
C.1 Cryptographic Standards
Kemet employs the following cryptographic standards:
(a) Identity Keys: Ed25519 for digital signatures; (b) Key Agreement: X25519 for Elliptic Curve Diffie-Hellman; (c) Symmetric Encryption: XChaCha20-Poly1305 for message content; (d) Header Encryption: AES-256-GCM for message metadata; (e) Hash Functions: SHA-256 for general hashing, Argon2id for key derivation; (f) Key Derivation: HKDF-SHA256 for deriving keys from shared secrets.
C.2 Protocol Versions
The Kemet Secure Messaging Protocol (KSMP) is currently at version 4.0. All messages include a protocol version header. If a client receives a message with a higher protocol version than it supports, it will request an application update. If it receives a message with a lower version, it will process it in legacy mode.
C.3 Post-Quantum Readiness
KSMP includes hooks for post-quantum cryptographic algorithms. When quantum-resistant algorithms become standardized, we will migrate to hybrid classical/post-quantum schemes without requiring changes to the database schema.
C.4 Network Architecture
(a) Client-Server Model: Kemet uses a fat client/dumb server architecture. Clients perform all cryptographic operations; servers store and relay encrypted data; (b) Server Infrastructure: Servers are operated by Kemet and located in multiple jurisdictions for redundancy and performance; (c) Content Delivery: Media files are stored in encrypted form on distributed object storage; (d) Database: PostgreSQL with encrypted fields for sensitive data; (e) Real-time Communication: WebSockets for real-time updates, with fallback to polling.
C.5 Data Retention Periods
(a) Public Posts: Retained until deleted by user or account termination, then purged within 3-7 days; (b) Private Messages: Encrypted messages are retained on servers until delivered and acknowledged, then deleted. Undelivered messages are retained for 7 days; (c) IP Hashes: Retained for 3-7 days, then rotated and deleted; (d) Device Fingerprints: Retained for the lifetime of the device association; (e) Audit Logs: Retained indefinitely in hashed, tamper-evident form; (f) Backup Data: Encrypted backups retained for 7 days maximum.
C.6 Known Limitations
Users should be aware of the following technical limitations:
(a) Metadata Leakage: While content is encrypted, metadata (who communicates with whom, frequency, timing) is visible to the server for routing purposes. We minimize and hash this data, but perfect metadata privacy is not achievable in this architecture;
(b) Traffic Analysis: Sophisticated adversaries may correlate traffic patterns to infer relationships between users;
(c) Endpoint Security: The security of end-to-end encryption depends on the security of the endpoints (user devices). Compromised devices compromise all communications;
(d) Forward Secrecy Limits: Forward secrecy protects past messages if keys are compromised in the future, but does not protect messages if keys are compromised at the time of sending;
(e) Group Chat Complexity: Group messaging requires complex key management. Adding or removing members from groups requires careful key rotation;
(f) Recovery Complexity: The recovery phrase system provides security but places full responsibility on users. There is no "forgot password" functionality.

D.1 Specific Risk Disclosures
You acknowledge and assume the following specific risks associated with using The Network:
(a) Cryptocurrency and Digital Asset Risk: If The Network integrates with cryptocurrency, tokens, or digital assets, you acknowledge extreme volatility, regulatory uncertainty, and risk of total loss;
(b) Smart Contract Risk: If The Network utilizes smart contracts or blockchain integrations, you acknowledge risks of coding errors, exploits, and irreversible transactions;
(c) Regulatory Risk: The regulatory status of encrypted communications, cryptocurrencies, and decentralized platforms is uncertain and evolving. Your use of The Network may become restricted or illegal in your jurisdiction;
(d) Technological Obsolescence: Cryptographic algorithms may be broken, quantum computing may render current encryption obsolete, and The Network may become insecure;
(e) Operational Risk: As an unincorporated entity, Kemet may lack the resources, insurance, or legal protections of traditional corporations;
(f) Jurisdictional Risk: The stateless nature of Kemet means you may have limited legal recourse in disputes.
D.2 No Professional Advice
Content on The Network does not constitute legal, financial, medical, or professional advice. Do not rely on information from The Network for decisions affecting your health, safety, finances, or legal rights.
D.3 User Verification Disclaimer
Kemet does not verify the identity of users. Anyone can claim to be anyone. A verified badge (Kemet+/Kemet++) only indicates payment, not identity verification. Do not trust users based on their username, display name, or verification status.
D.4 No Endorsement
We do not endorse, verify, or vouch for any user, content, product, or service on The Network. The presence of content or users on The Network does not constitute our approval or recommendation.
D.5 Third-Party Links and Content
The Network may contain links to third-party websites or resources. We are not responsible for the content, products, or services available from third parties. Your interactions with third parties are solely between you and the third party.
D.6 Release
To the maximum extent permitted by law, you release Kemet and its affiliates from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with: (a) Disputes between users; (b) Content posted by users; (c) Conduct of users; (d) Third-party services or content; (e) Technical failures or security breaches; (f) Loss of data or access.
You waive any and all provisions, rights, and benefits conferred by any statute or principle of law that would limit the scope of this release, including any provisions that would require a releasing party to be aware of or to have suspected the existence of a claim at the time of releasing it.
APPENDIX E: MISCELLANEOUS PROVISIONS
E.1 Language
These Terms are drafted in English. Translations may be provided for convenience, but the English version shall prevail in case of conflict.
E.2 No Agency
No agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship is intended or created by these Terms.
E.3 Export Controls
You represent that you are not located in a country subject to U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations.
E.4 Open Source
Certain components of The Network may be licensed under open source licenses. Nothing in these Terms restricts your rights under those open source licenses.
E.5 Beta and Experimental Features
From time to time, we may offer beta or experimental features. These features are provided "as is" with no warranty and may be changed or discontinued at any time.
E.6 Community Moderation
In addition to automated systems, we may implement community moderation features where users can report content, vote on moderation decisions, or participate in governance. Participation in these features is voluntary and subject to these Terms.
E.7 Research and Development
We may use aggregated, anonymized data for research, security analysis, and service improvement. This data cannot be linked to individual users or Nodes.
E.8 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
E.9 Statute of Limitations
Any claim or cause of action arising out of or related to these Terms or The Network must be filed within one (1) year after such claim or cause of action arose, or such claim or cause of action is forever barred, regardless of any statute or law to the contrary.
E.10 Construction
These Terms shall not be construed against the drafting party. Ambiguities shall not be interpreted against the drafter.
E.11 Electronic Signatures
You agree that electronic signatures, clicks, and acceptances are legally binding and equivalent to handwritten signatures.
E.12 Severability of Arbitration Clause
If the arbitration clause (Section 14) is found unenforceable, the remaining provisions shall remain in effect, and disputes shall be resolved in the state or federal courts located in Wilmington, Delaware.
E.13 Prior Agreements
These Terms supersede all prior agreements, representations, warranties, and understandings between you and Kemet regarding The Network.
E.14 Feedback
If you provide feedback, suggestions, or ideas about The Network, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or attribution.
E.15 Publicity
You agree that we may refer to you as a user of The Network in marketing materials, unless you opt out by contacting legal@kemet.network.
E.16 Entire Agreement Clause
These Terms, including all appendices and incorporated policies, constitute the entire agreement between you and Kemet concerning The Network. They replace all prior or contemporaneous agreements, representations, warranties, and understandings.
